1. Agreement to Terms

By accessing or using the FortixLabs website at fortixlabs.io or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services Description

FortixLabs provides custom software development services including but not limited to:

  • Custom web application development
  • Mobile application development (iOS and Android)
  • UI/UX design
  • Database design and architecture
  • Performance optimization
  • E-commerce solutions

Specific deliverables, timelines, and scope of work will be defined in individual project agreements or statements of work between FortixLabs and the client.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the project
  • Respond to requests for feedback and approvals in a timely manner
  • Ensure you have the rights to any content, materials, or assets you provide to us
  • Designate a primary point of contact for project communication
  • Review and test deliverables within agreed-upon timeframes

4. Intellectual Property

4.1 Client Ownership

Upon full payment, you will own the custom code, designs, and deliverables created specifically for your project, unless otherwise specified in a separate agreement.

4.2 FortixLabs Retained Rights

FortixLabs retains the right to use general knowledge, techniques, and skills gained during the project. We also retain ownership of any pre-existing tools, frameworks, or code libraries used in development. FortixLabs may showcase the completed project in our portfolio unless the client requests otherwise in writing.

5. Payment Terms

5.1 Monthly Plans

Monthly plan subscriptions are billed at the beginning of each billing period. Payment is due upon receipt of invoice. Access to development services is contingent upon current payment status.

5.2 Project-Based Work

For project-based engagements, payment schedules will be outlined in the project agreement. Typical structures include a deposit before work begins, milestone payments during development, and final payment upon project completion.

5.3 Late Payments

Invoices not paid within 30 days of the due date may incur a late fee. FortixLabs reserves the right to pause work on any project with outstanding unpaid invoices.

6. Limitation of Liability

To the maximum extent permitted by law, FortixLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services. Our total liability for any claim related to our services shall not exceed the total amount paid by the client to FortixLabs in the twelve (12) months preceding the claim.

7. Warranties and Disclaimers

FortixLabs provides services on an "as is" basis. While we strive to deliver high-quality work, we make no warranties, express or implied, regarding the fitness of our deliverables for a particular purpose. We do not guarantee that websites or applications will be uninterrupted or error-free after delivery.

8. Termination

8.1 Monthly Plans

Either party may terminate a monthly plan with 30 days' written notice. Upon termination, the client will receive all completed work and any work-in-progress up to the termination date.

8.2 Project-Based Work

Either party may terminate a project-based engagement with written notice. The client will be responsible for payment of all work completed up to the termination date. Any unused deposit may be refunded at FortixLabs' discretion based on work already performed.

8.3 Termination for Cause

Either party may terminate the agreement immediately if the other party materially breaches these terms and fails to cure the breach within 15 days of written notice.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of the State of Arizona.

10. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
